Articles of Association

According to its Articles of Association, the objective of Schibsted is to operate successfully within the information business and related business activities.

Through its Articles of Association, Schibsted’s shareholders have committed to enable Schibsted to engage in the information business in such a way that editorial freedom and integrity are fully ensured.

The publishing tradition has always played a key role in the Schibsted Group’s operations. Schibsted aims to be a group that ensures diversity in the media through editorial independence and respect for the fact that different media are based on different publishing and political viewpoints. The safeguarding of the editorial integrity and responsibility of maintaining the ethical standards as a content supplier is anchored locally and administered by each individual company.

Due to Schibsted’s publishing responsibilities and role in society as a media company, Schibsted’s independence and integrity are guaranteed by restrictions on ownership and voting rights stipulated in the Articles of Association §6. No shareholder may own, or vote at the General Meeting in representation of, more than 30% of the shares.

Any shareholder owning at least 25% of the shares in Schibsted ASA is entitled to appoint one director to the Board of Directors directly. Blommenholm Industrier AS, which owns 26.1% of the shares, is currently the only shareholder that has this right. The four voting A shares in Blommenholm Industrier AS are owned by the Tinius Trust.
